Terms of Service

These Terms of Service ("Terms") govern your use of the Situ.art application (the "Service") operated by Situ.art ("we", "our", or "us"). By accessing or using the Service, you agree to be bound by these Terms.

1. Account Registration

To access certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete information when creating your account.

2. Acceptable Use

You agree not to:

  • Upload, generate, or distribute content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
  • Use the Service to infringe upon any third party's intellectual property rights.
  • Attempt to circumvent usage limits, rate limits, or other restrictions imposed by the Service.
  • Use automated tools (bots, scrapers, etc.) to access the Service without our written permission.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Use the Service to generate images that depict illegal activity or exploit minors.

3. Subscriptions & Payments

Free Tier

The Service offers a free tier with limited usage. Free tier limits are subject to change at our discretion.

Paid Subscriptions

Paid subscriptions (Pro and Enterprise tiers) are billed on a recurring monthly basis. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

Auto-Renewal

Subscriptions automatically renew at the end of each billing period. You can cancel your subscription at any time through the Stripe customer portal accessible from your Settings page. Cancellation takes effect at the end of the current billing period.

Refunds

We do not offer refunds for partial billing periods. If you cancel your subscription, you will continue to have access to paid features until the end of your current billing period.

Price Changes

We reserve the right to change subscription prices. Any price changes will take effect at the start of your next billing period, and we will notify you in advance.

4. Intellectual Property

Your Content

You retain all rights to artwork images you upload to the Service. By uploading content, you grant us a limited, non-exclusive license to process, store, and display your content solely for the purpose of providing the Service.

Generated Images

Images generated by AI services through Situ.art may be subject to the terms and conditions of the underlying AI providers (Google, OpenAI, Black Forest Labs). We do not claim ownership of generated images, but your rights to use them may be governed by these providers' terms. We recommend reviewing their respective terms of service.

Our Content

The Service, including its design, features, and documentation, is owned by us and protected by intellectual property laws. You may not copy, modify, or distribute the Service or its components without our written permission.

5. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE.

Our total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

6. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms.

7. Termination

We may suspend or terminate your account at any time if we reasonably believe you have violated these Terms. You may delete your account at any time through the Settings page. Upon termination, your data will be permanently deleted as described in our Privacy Policy.

8. Modifications to Terms

We may modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which we operate, without regard to conflict of law principles.

10. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the relevant arbitration body in our jurisdiction.
